Rules for Members and Applicants of Electronics Yorkshire (EY)
Version 1.0

Introduction

This document sets out the Rules governing Membership of Electronics Yorkshire ("EY"). Every Member of EY is bound by all of these Rules while it remains a Member of EY. Every person applying to become a Member of EY is bound by the provisions of these Rules.

1. Acceptance as a Member

1.1 Applications to become a Member of EY must be submitted using the application form, and according to the procedure, approved by the Executive from time to time. All applicants must ensure that the information submitted in any application form and any additional information provided is fair, complete and accurate.

1.2 Acceptance as a Member of EY is at the sole discretion of the EY Executive.

1.3 For the avoidance of doubt the Executive shall at all times at its sole discretion be entitled to reject an application for Membership by any person irrespective of whether that person fulfils the relevant criteria or to accept any application for Membership where the applicant does not fulfil all of the relevant criteria.

Member criteria

1.4 Full Members are organizations which are actively engaged in the field of electronics, or which intend to become active in the field of electronics during the next 12 months within the region of Yorkshire and the Humber.

1.5 Associate Members are organizations which are actively engaged in the field of electronics which are outside of the region of Yorkshire and the Humber.

1.6 Support Organization Members are those bodies or companies within the region of Yorkshire and the Humber which are actively engaged in support of, or associated with, the electronics industry but do not comply with criteria defined in Rules 1.4 or 1.5.

2. Conduct

2.1 Every Member of EY must ensure that it updates EY of any relevant issue changes (including contact details or any matter considered to be relevant criteria for membership).

2.2 Members of EY must not act in such a way as to bring EY or the electronics industry into disrepute.

2.3 Members may be required to enter into a non-disclosure agreement between EY and the other Members to protect each member’s confidentiality in any ideas or projects which are discussed at EY.

3. Annual Subscriptions

The current annual subscription rates are:

Please note that the cost of annual subscription will be reviewed by the Executive from time to time.

3.1 All subscriptions must be paid on or before the date for payment set out on the invoice issued by EY for such payment.

3.2 Subscriptions are not refundable under any circumstances.

3.3 Further subscriptions are to be paid in respect of each further year of Membership and the Executive may vary subscription rates at any time.

4. Expulsion

4.1 The Executive may expel any Member where that Member breaches any of these Rules.

4.2 A Member shall be entitled to be heard in its own defence to appeal against any expulsion by the Executive or a member of the Executive provided that it gives EY written notice of such intention within 14 days from the date of expulsion. The decision of the Executive (or member of the Executive) on any such appeal shall be final.

5. Press comments, data protection and related matters

5.1 No Member shall (itself or through any special interest group or committee or in any other manner) make any public comment on behalf of (or purportedly on behalf of) EY or bind or seek to bind EY without the prior written approval of the Executive. The current members on the Executive may make public comment on behalf of EY.

5.2 No Member shall use any trade mark or intellectual property right of EY (including the name Electronics Yorkshire and any logo(s) of EY) without the prior written approval of the Executive. Members shall be entitled to use the EY logo and the words "Member of Electronics Yorkshire" under licence on their website or letterhead whilst they are a Member of EY and subject to the right of the Executive to terminate this licence at any time.

5.3 EY will use the information provided by Members (including the information provided on application forms, as updated from time to time) ("Member Information") for the following purposes: administration of membership records; advertising, marketing and public relations for EY and for third parties (selected at the discretion of the Executive); accounts and records; consultancy and advisory services; education; fundraising; and trading/sharing personal information. EY may disclose Member Information to its agents or service providers for these purposes. EY may share Member Information with selected third parties. EY or such third parties may contact Members by mail, telephone, email or fax (using the contact details provided on your application and member information forms, as updated from time to time) with offers of goods or services or other information relating to the activities of EY or such third parties. If you do not wish your information to be used in this way or wish to amend or correct details please use the procedure and contact details specified in paragraphs 8, 9 and 10 of the Privacy Policy on the EY website.

6. Duration of Rules

6.1 These Rules will remain in force until supplemented or replaced by the Executive of EY. The Executive of EY may supplement or replace these Rules at any time at their discretion.

6.2 EY is a not-for-profit Company Limited by Guarantee.
